1. Acceptance of Terms
By creating an account, starting a free trial, or otherwise accessing or using CRE Circuit (the "Service," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including those on Solo, Team, and Enterprise subscription plans.
CRE Circuit is operated by CRE Circuit LLC, a Washington limited liability company ("Company").
2. Description of Service
CRE Circuit is a subscription service that aggregates commercial real estate networking event listings from third-party organizations across the Seattle and Portland metropolitan areas, and provides filtering, team coordination, and related tools to help subscribers discover and plan attendance at these events.
Event data accuracy disclaimer: Event listings are sourced from third-party organizations' public calendars and, in some cases, entered manually by CRE Circuit staff. CRE Circuit does not control, verify in real time, or guarantee the accuracy, completeness, or currency of any event listing, including but not limited to dates, times, locations, pricing, or whether an event is open to the public or restricted to members of the hosting organization. You are responsible for independently confirming event details, including access eligibility, directly with the hosting organization before attending. CRE Circuit is not affiliated with, endorsed by, or a representative of any organization whose events appear in the Service — including but not limited to the Building Owners and Managers Association (BOMA), CREW Network (CREW), the Institute of Real Estate Management (IREM), the Commercial Real Estate Development Association (CREDA, formerly NAIOP), the Urban Land Institute (ULI), the Washington Multi-Family Housing Association (WMFHA), Bisnow, the Washington State Chapter of the Community Associations Institute (WSCAI), the Community Associations Institute, Oregon Chapter (CAI Oregon), the International Facility Management Association (IFMA), the Washington State Society for Healthcare Engineering (WSSHE), the Oregon Society for Healthcare Engineering (OSHE), or any other listed organization — unless separately and explicitly stated.
3. Accounts
You must provide accurate, current information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity under your account. Notify us immediately at support@crecircuit.com of any unauthorized use.
For Team and Enterprise accounts, a "seat" means one of the licensed spots included in that subscription. Each seat may be assigned by the account owner to one individual at a time, and only that individual may use the seat to access the Service — seats may not be shared by multiple people simultaneously. The account owner may remove a seat holder and reassign that seat to a different individual at any time; the account owner is responsible for managing seat assignments and for all activity by users occupying a seat on the account.
4. Subscriptions, Billing, and Free Trial
- Free trial: New subscribers receive a 14-day free trial. A valid payment method is required to begin a trial. Your payment method will be charged automatically at the regular subscription price for your selected plan at the end of the 14-day trial period unless you cancel before the trial ends. We will send a reminder notice before your trial ends and before your card is charged.
- Plans: CRE Circuit offers Solo, Team, and Enterprise subscription tiers, described at crecircuit.com/pricing. Pricing and seat limits are as stated at the time of purchase and are subject to change with notice as described below.
- Billing: Subscriptions are billed monthly or annually in advance via our third-party payment processor. By subscribing, you authorize recurring charges to your payment method until you cancel.
- Taxes: Prices listed do not include applicable sales, use, or similar taxes. Where required by law, we will calculate and add applicable tax to your charge based on your billing address at checkout. You are responsible for any such taxes associated with your subscription.
- Cancellation, refunds, and automatic renewal: See Cancellation and Refunds and Automatic Renewal, below, for the complete terms governing cancellation, refunds, and the automatic renewal of your subscription.
- Team and Enterprise seat changes: Team and Enterprise account owners may add or remove seats at any time through account settings. Monthly billing: adding seats is billed on a prorated basis for the remainder of the current billing period; removing seats reduces the seat count and the corresponding charge on your next billing cycle. Annual billing (Enterprise only): adding seats mid-year is billed on a prorated basis for the remaining time in the current annual term, at the per-seat rate applicable to your new total seat count; removing seats mid-year does not entitle you to a refund for the portion of the annual term already paid, and the reduced seat count and any resulting rate change take effect at your next renewal.
- Enterprise pricing: Enterprise per-seat pricing is individually negotiated between CRE Circuit and the subscribing organization and set by CRE Circuit in the account configuration. Enterprise pricing is not publicly listed and may vary by account based on seat count and other factors agreed upon at the time of purchase.
- Failed payments: If a payment fails, we may suspend access to the Service until payment is resolved.
5. Promotional Pricing
- Availability: From time to time, CRE Circuit may offer promotional subscription pricing to subscribers who begin a paid subscription during a defined promotional period. Promotional periods may be offered at initial platform launch or in connection with the launch of a new geographic market. The dates, eligible plans, applicable markets, and rates of any promotional period will be stated at the time the offer is made.
- Rate lock: A subscriber who begins a paid subscription during a promotional period will continue to be billed at the promotional rate for that subscription, notwithstanding any subsequent increase to CRE Circuit's standard rates, for so long as the conditions described under Scope of the rate lock and forfeiture, below, are met.
- Scope of the rate lock and forfeiture: Promotional pricing applies strictly to the specific subscription plan and billing cycle to which the subscriber originally subscribed, and applies only while that subscription remains continuously active. Subject to Modification and termination, below, the promotional rate will remain locked for the life of the active subscription notwithstanding any subsequent increase to CRE Circuit's standard rates. If a subscriber manually cancels their account, or if the service is terminated by CRE Circuit for nonpayment, the promotional pricing is permanently forfeited. Any subsequent reactivation or new signup will be billed at the standard public rates then displayed on the CRE Circuit website, regardless of any prior promotional eligibility. A subscriber may change billing cycle (for example, from monthly to annual) within the same subscription plan without forfeiting promotional pricing; the promotional rate for the new billing cycle will apply. A change of subscription plan (for example, from Solo to Team) is a change to a different product, and the new plan will be billed at the standard rates then in effect unless CRE Circuit states otherwise in writing.
- Scope of service: Promotional pricing entitles the subscriber to the promotional rate for the subscription plan purchased. It does not entitle the subscriber to any additional markets, features, tiers, or products that CRE Circuit may introduce, whether offered separately or as part of a higher-priced plan.
- Account transfer: Promotional pricing attaches to the subscribing account, not to any individual user. Transfer of account ownership to another user does not affect promotional pricing, and a change in an individual subscriber's employer or organizational affiliation is an administrative change that does not affect promotional pricing on their account. Where a change results in a change of subscription plan, Scope of the rate lock and forfeiture, above, governs. CRE Circuit reserves the right to terminate promotional pricing where an account is used in a manner inconsistent with the promotional offer.
- Modification and termination: CRE Circuit may modify or discontinue any promotional offer prospectively for new signups at any time. For active subscribers receiving promotional pricing, CRE Circuit will not alter the promotional rate during the life of the active subscription unless the account is canceled or terminated as described under Scope of the rate lock and forfeiture, above. However, in the highly exceptional event that continuation of a promotional rate becomes commercially impracticable, CRE Circuit may terminate the promotional pricing upon not less than 60 days' prior written notice to the subscriber, in which case the subscriber may cancel their subscription without penalty before the new standard rate takes effect.
- No other discounts: Promotional pricing may not be combined with any other discount, coupon, or promotional offer unless expressly stated.
6. Cancellation and Refunds
- How to cancel: You may cancel your subscription at any time from the Billing page of your CRE Circuit account. Cancellation takes effect as described below. We do not require notice, and no cancellation fee applies.
- Same-day cancellation and automatic refund: If you cancel on the same calendar day (Pacific Time) on which your most recent charge was processed, that charge will be refunded in full automatically, and access to the Service will end immediately upon cancellation. No refund request is required.
- Cancellation on any other day: If you cancel on any day other than the day your most recent charge was processed, that charge is not refunded. The subscription will not renew, and you will retain full access to the Service through the end of the billing period for which you have already paid. Access ends automatically at that time.
- Cancellation during a free trial: If you cancel during a free trial period, you are not charged. Access continues through the end of the trial period, after which the subscription ends automatically and no charge is made.
- No other refunds: Except as described under Same-day cancellation and automatic refund, above, subscription fees are non-refundable. We do not issue partial or prorated refunds for unused portions of a billing period, for annual subscriptions cancelled mid-term, or for periods of non-use. Nothing in this section limits any right to a refund that cannot be waived under applicable law.
- Effect on promotional pricing: Cancellation permanently forfeits any promotional pricing, as described in Promotional Pricing, above. Forfeiture occurs upon cancellation, not upon the end of the paid period. If you cancel and later resubscribe, you will be billed at the standard rates then in effect.
- Termination for nonpayment: If a payment fails and is not successfully collected, we may suspend or terminate access to the Service. Same-day cancellation and automatic refund and Cancellation on any other day, above, do not apply to termination for nonpayment.
- Termination by CRE Circuit: We may terminate a subscription for breach of these Terms. Where we terminate a subscription for reasons other than your breach, we will refund the unused portion of any prepaid period on a prorated basis.
7. Automatic Renewal
- Automatic renewal: CRE Circuit subscriptions renew automatically. At the end of each billing period, the subscription will renew for an additional identical term and the payment method on file will be charged, unless you cancel before the next scheduled billing date.
- Charges: You will be charged the amount stated at checkout, plus applicable taxes, at the time of purchase, and will be charged the then-current rate for your plan at the start of each subsequent billing cycle. If you are enrolled at a promotional rate, you will continue to be charged that rate for so long as the conditions described in Promotional Pricing, above, are met. If you are enrolled in a free trial, you will be charged the standard rate then in effect upon expiration of the trial, unless you cancel before that date.
- Price changes: We will provide at least thirty (30) days' advance notice of any change to the recurring charge amount applicable to an existing subscription. If you do not wish to accept the new rate, you may cancel before it takes effect.
- Cancellation deadline: To avoid being charged for the next billing period, you must cancel before 11:59 PM Pacific Time on the day prior to your scheduled renewal date.
- How to cancel: You may cancel at any time from the Billing page within your CRE Circuit account by selecting "Cancel Subscription." Cancellation is cost-free, takes effect without any advance notice period, and does not require contacting us. The effect of cancellation on access and refunds is described in Cancellation and Refunds, above.
- Consent: Before purchase, you are presented with these Terms and Conditions, our Privacy Policy, and these automatic renewal terms, and must affirmatively indicate acceptance of them in order to proceed. By doing so, you authorize us to retain your payment method with our payment processor and to charge it on a recurring basis at the price and frequency disclosed, until the subscription is cancelled.
- Acknowledgment: Following purchase, we will send you a confirmation by email, in a form you may retain, stating the plan, billing frequency, recurring charge amount, next billing date, cancellation policy, and cancellation instructions.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Scrape, harvest, or systematically extract data from the Service for use outside the Service, including for the purpose of building a competing product
- Share your account credentials with anyone outside your organization's licensed seats
- Attempt to circumvent seat limits on Team or Enterprise plans
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to harass, defraud, or misrepresent your identity or affiliation to any organization or individual
We reserve the right to suspend or terminate accounts that violate this section.
9. Intellectual Property
The Service, including its design, branding, software, and compiled event data (as distinct from the underlying facts about any individual event), is the property of CRE Circuit and protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include any right to resell, sublicense, or redistribute the Service or its data.
10. Third-Party Links and Organizations
The Service contains links to third-party websites (event registration pages, organization calendars, etc.) that we do not control. We are not responsible for the content, accuracy, availability, or practices of these third-party sites. Your interactions with any hosting organization, including registration, payment, or attendance at an event, are solely between you and that organization.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVENT DATA WILL BE ACCURATE OR CURRENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT IN CASES OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, CRE CIRCUIT AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO RELIANCE ON EVENT DATA THAT PROVES INACCURATE OR OUTDATED. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, EXCEPT IN CASES OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.
13. Termination
We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or at our discretion with notice. You may terminate your account at any time as described in Cancellation and Refunds. Sections 9, 11, 12, and 14 survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the United States of America and by the laws of the State of Washington, without regard to conflict-of-law principles. You agree to the personal jurisdiction by and venue in the state and federal courts in King County, Washington, and waive any objection to such jurisdiction or venue.
15. Changes to These Terms
We may update these Terms from time to time. We will provide notice of material changes (e.g., via email or in-app notice) at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
